These Terms of Service (“Terms”) govern your access to and use of SpySeller (“SpySeller”, “we”, “us”, “our”), including spyseller.com, our tools, checklists, and related content (collectively, the “Services”).
By accessing or using the Services, you agree to these Terms. If you do not agree, do not use the Services.
Scope of Service
SpySeller provides tools and educational content primarily designed for Etsy sellers. The Services may include:
- calculators, generators, and analysis tools,
- checklists and guides,
- blog and informational content,
- optional account-related features (if enabled).
The Services may change over time (including features being added, removed, or modified).
Eligibility
You must be able to form a legally binding contract to use the Services. If you are using the Services on behalf of a business or other entity, you represent that you have authority to bind that entity to these Terms.
No professional advice
The Services are provided for general informational purposes only. We are not a law firm, accounting firm, or financial advisor, and nothing on the Services constitutes legal, tax, accounting, or financial advice. You are responsible for verifying information and using your own judgment (and professional advice where appropriate).
Accounts (if enabled)
Some features may allow you to create an account (for example, to save favorites). If you create an account, you agree to:
- provide accurate information,
- maintain the security of your credentials,
- notify us of unauthorized access,
- accept responsibility for activity under your account.
We may suspend or terminate accounts that violate these Terms.
Your content and tool inputs
You may submit information into the Services (for example, keywords, prompts, product descriptions, or settings) (“User Content”).
- You retain ownership of your User Content.
- You grant SpySeller a limited, non-exclusive, worldwide license to host, process, transmit, and display User Content only as necessary to provide and improve the Services, maintain security, and comply with law.
You represent that you have the rights needed to submit User Content and that it does not violate law or third-party rights.
Acceptable Use
You agree not to misuse the Services. For example, you must not:
- use the Services for unlawful, harmful, or fraudulent purposes,
- attempt to interfere with, disrupt, or gain unauthorized access to the Services or systems,
- reverse engineer, scrape, or abuse the Services in a way that could impair performance or security,
- upload or transmit malware or malicious code,
- use automated means to access the Services except as permitted by us.
We may limit, rate-limit, block, or suspend access to protect the Services and other users.
Intellectual property
The Services (including site design, text, graphics, logos, and software) are owned by SpySeller or our licensors and are protected by intellectual property laws.
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your personal or internal business use.
You may not copy, modify, distribute, sell, lease, or create derivative works from the Services except as expressly permitted by law or with our written permission.
Third-Party Links
The Services may:
- link to third-party websites,
- rely on third-party infrastructure (for example, hosting, security, or content delivery),
- integrate third-party features (for example, social login, analytics, or advertising) if enabled.
Third parties operate under their own terms and policies. We are not responsible for third-party services, content, or practices.
Disclaimers
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE”. TO THE MAXIMUM EXTENT PERMITTED BY LAW, SPYSELLER DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
We do not warrant that:
- the Services will be uninterrupted, error-free, or secure,
- outputs will be accurate, complete, or suitable for your specific use case,
- results will improve Etsy search ranking, sales, revenue, or performance.
Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SPYSELLER WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF (OR INABILITY TO USE) THE SERVICES.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SPYSELLER’S TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATED TO THE SERVICES WILL NOT EXCEED THE AMOUNT YOU PAID TO SPYSELLER FOR THE SERVICES IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM (OR, IF YOU PAID NOTHING, $0).
Some jurisdictions do not allow certain limitations; in that case, these limitations apply to the fullest extent permitted.
Indemnification
You agree to defend, indemnify, and hold harmless SpySeller and its affiliates, officers, employees, and agents from and against claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to:
- your use of the Services,
- your User Content,
- your violation of these Terms or applicable law,
- your infringement of any third-party rights.
Termination
We may suspend or terminate your access to the Services at any time if we reasonably believe you have violated these Terms or if it is necessary to protect the Services, users, or third parties.
You may stop using the Services at any time.
Changes
We may update these terms from time to time. The latest version is always posted on this page.
Governing law and venue
These Terms are governed by the laws of the jurisdiction where SpySeller is established, without regard to conflict of laws principles. You agree that disputes will be brought in the competent courts in that jurisdiction, unless applicable law requires otherwise.
